The listing is no longer the company. Getty Images still holds a picture archive that publishers and agencies license. The Class A shares do not hold the outcome. On 28 September, at 2:31 p.m. Eastern, the tape showed $0.083. That same screen put the past year at −95.81% and the full history at −99.68%. The market cap on the screen was $34.39 million. The 52-week range was $3.21 to $0.080. A fall of that size is not a valuation argument. It is a claim that the equity is a stub. The NYSE has started to leave. On 29 September the New York Stock Exchange suspended trading in Getty Images Holdings Class A common stock and began proceedings to delist it. The staff cited an abnormally low selling price, under Section 802.01D of the Listed Company Manual. The company can ask a committee of the exchange’s board to review that decision. The exchange then applies to the SEC. A suspension is not a cancelled share. It is the end of a normal listing. A sub-dime stock with a halted tape is not a public market anyone can underwrite. The September interest was not paid. Getty did not make the interest payments due 1 September on its 9.75% notes due 2027 and its 14% notes due 2028. It used the 30-day grace period. That window runs toward 1 October. The company said it had the cash to pay the coupon and to meet ordinary bills. A grace period used while the cash is there is a choice about who gets paid, not a missed calendar entry. Bondholders are already senior to the $0.08 equity. Skipping them, even inside a grace period, says the talks have started. The creditors are in the room. Bloomberg has reported confidential talks with lenders about new money, including a loan that would be made in a bankruptcy, and about creditors taking control through Chapter 11. The Getty family has been reported as a possible investor in that outcome. Those are talks. They are not a filed plan, and they are not a court order. They are the conversation a stub equity has when the exchange has already suspended the shares. This note does not predict the filing date. It says the equity is no longer the place where the decision gets made. Put the archive with the people who hold the risk. What has to happen is a restructuring that keeps the library operating and hands control to the creditors who already sit above the stock. The listed holding company at this price is not a capital structure. It is a ticker waiting on a delisting order. A licensing business can come out of that. A campaign to “save the NYSE listing” cannot. There is no buyer for an eight-cent share who is buying the archive. They are buying a residual claim on someone else’s negotiation.
